Terms of Service

Please read these terms carefully. As a professional B2B manufacturer, these conditions govern all wholesale orders, OEM/ODM projects, and manufacturing services provided by Misa Glass.

Last Updated: November 24, 2024

1 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Buyer," or "Distributor") and Misa Glass ("Company," "we," "us," or "our"), located at No. 127, Jianshe Street, Xinji City, Shijiazhuang City, Hebei Province, China.

By placing an order, requesting a quotation, or engaging our OEM/ODM services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2 Business Nature (B2B Only)

Misa Glass operates strictly as a B2B (Business-to-Business) manufacturer and wholesaler. We do not engage in retail sales to individual consumers for personal use.

  • Minimum Order Quantity (MOQ): All orders are subject to MOQ requirements, which vary by product type (e.g., standard stock items vs. custom OEM molds).
  • Commercial Use: Products are sold with the understanding that they will be used for commercial packaging, resale, or industrial purposes.

3 OEM/ODM & Customization Services

For custom projects involving mold development, deep processing (frosting, printing, coating), or unique structural designs:

A. Mold Development

Client must approve 3D drawings and technical specifications before mold production begins. Mold fees are non-refundable once tooling has commenced.

B. Sample Confirmation

Mass production will only proceed after the Client has approved the pre-production samples. The Company is not liable for discrepancies if the Client waives the sampling process.

C. Manufacturing Tolerances

Glass manufacturing involves high-temperature processes. Minor variations in capacity (±ml), weight, or dimensions within industry standard tolerances are considered acceptable and not defects.

4 Payment & Pricing

Prices are quoted in USD unless otherwise specified and are valid for the period stated on the quotation. Due to fluctuations in raw material costs and exchange rates, we reserve the right to adjust pricing for unconfirmed orders.

  • Deposit: A deposit (typically 30%-50%) is required to initiate production or mold opening.
  • Balance: The remaining balance must be paid prior to shipment or release of the Bill of Lading, as agreed in the Proforma Invoice.

5 Shipping & Risk

Trade terms follow Incoterms 2020 (e.g., EXW, FOB, CIF).

Unless otherwise agreed, the risk of loss or damage to goods passes to the Client upon delivery to the carrier (for FOB/EXW) or upon arrival at the destination port (for CIF), depending on the specific term agreed. We strongly recommend obtaining shipping insurance.

6 Quality Assurance & Claims

We stand by our factory-level reliability. However, due to the nature of glass shipping:

  • Inspection: The Client must inspect goods within 7 business days of receipt.
  • Breakage Rate: A breakage rate of up to 3% during transit is considered industry standard. Claims exceeding this amount must be supported by photographic evidence and official carrier reports.
  • Defects: Valid quality claims will be compensated via replacement in the next order or a refund for the defective portion only.

7 Intellectual Property

Client Designs: The Client warrants that any designs, logos, or artworks provided to Misa Glass for printing or mold creation do not infringe upon any third-party intellectual property rights. The Client agrees to indemnify Misa Glass against any such claims.

Our Designs: Misa Glass retains ownership of all proprietary molds and designs developed by us, unless a specific "Exclusivity Agreement" is signed and the mold buyout fee is paid.
